Two companies prominent in the EMI/EMC industry, Munich-based EPCOS and Tokyo-based TDK have entered a business combination agreement. This move will combine both companies’ activities in the electronic components sector to create a strong global business presence across various customer demographics and geographic regions. As an initial step in implementing this agreement, TDK will launch a public tender offer of €17.85 per EPCOS share. This agreement must be approved by German regulatory authority Bundesanstalt für Finanzdienstleistungaufsich during August 2008. The offer is expected to close by October, 2008 at which time TDK will begin the process of carving out its electronic components activities, which will combine with EPCOS to create TDK EP Components KK.
